Terms of Service

1. Acceptance of Terms

By accessing or using Ferrule ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms. If you do not agree, do not use the Service.

2. Service Description

Ferrule is a multi-tenant dual-protocol gateway (MCP + REST) that connects your third-party service accounts (such as PracticePanther, Lawmatics, Zoom, CallRail, QuickBooks Online, Slack, Google Search Console, Google Analytics, Notion, Google Drive, Google Calendar, Google Docs, Google Sheets, and Box) to AI assistants and HTTP-capable clients. The Service also provides a platform layer for stored prompts, custom role-based access control, and an audit log of Service activity.

3. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Service. The Service is not directed to, and we do not knowingly accept accounts from, individuals under 18. If you are registering on behalf of an organization, you represent that you have the authority to do so.

4. Accounts and Account Responsibilities

  • You are responsible for maintaining the security of your account credentials
  • Multi-factor authentication is required for dashboard access
  • You are responsible for all activity that occurs under your account and API keys
  • You must promptly notify us at [email protected] if you become aware of any unauthorized access to your account

5. Communications

By creating an account, you consent to receive transactional communications necessary to operate the Service — including authentication emails, security alerts, service announcements, and policy updates — at the address associated with your account. You may opt into or out of optional product and marketing communications from your dashboard or via the unsubscribe link in any such email. Transactional messages cannot be disabled while your account is active.

6. Third-Party Services

Ferrule connects to third-party services on your behalf. Your use of those services is governed by their respective terms of service and privacy policies. You are responsible for complying with the terms of any third-party service you connect through Ferrule and for ensuring that your use of those services via the Service does not violate their terms.

7. QuickBooks Online Integration

The QuickBooks Online integration provides read-only access to your QuickBooks data. No create, update, or delete operations are performed. Your use of QuickBooks Online through Ferrule is also subject to Intuit's Terms of Service.

8. API Key Usage

  • API keys grant programmatic access to your organization's connected integrations
  • You are responsible for keeping API keys secure and not sharing them with unauthorized parties
  • API keys have configurable expiration (default 30 days, maximum 365 days) and can be revoked at any time
  • We reserve the right to rate-limit or revoke API keys that are used in a manner that disrupts the Service

9. User Content

"User Content" means any content you submit to the Service, including stored prompts, prompt metadata, role definitions, organization settings, and configuration data. You retain all ownership rights in your User Content.

You grant Ferrule a worldwide, non-exclusive, royalty-free license to host, store, process, transmit, and display your User Content solely as necessary to operate, maintain, and secure the Service for you and the members of your organization. This license ends when you delete the User Content or terminate your account, except to the extent that backup copies must be retained for a commercially reasonable period or to comply with legal obligations.

You represent that your User Content does not infringe the rights of any third party and that you have the authority to submit it. You must not upload, store, or transmit through the Service any content that is unlawful, defamatory, or that contains malware, third-party credentials you are not authorized to use, or personal data you do not have the right to process.

10. Acceptable Use

You agree not to, and not to allow others to:

  • Use the Service to violate any applicable law or regulation
  • Attempt to gain unauthorized access to other users' accounts, data, or integrations
  • Interfere with, disrupt, probe, or attempt to circumvent the security or integrity of the Service or its infrastructure
  • Resell or redistribute access to the Service without written authorization
  • Use the Service to send unsolicited communications or to process data you are not authorized to process
  • Reverse engineer, decompile, or extract the source code of the Service, except to the extent such restriction is expressly prohibited by applicable law

11. Intellectual Property

The Service — including its software, APIs, dashboard, documentation, logos, trademarks, and design — is the exclusive property of Ferrule and its licensors and is protected by intellectual property laws. These Terms grant you only a limited, non-exclusive, non-transferable right to access and use the Service in accordance with these Terms; no other rights are granted.

12. Feedback

If you send us suggestions, bug reports, or other feedback about the Service, you grant Ferrule a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate that feedback into the Service without any obligation or compensation to you. You are not required to provide feedback.

13. Copyright and DMCA Policy

Ferrule respects the intellectual property rights of others. If you believe that material accessible through the Service infringes your copyright, you may send a written notice to our designated agent at [email protected] including: (a) a physical or electronic signature of the copyright owner or their authorized agent; (b) identification of the copyrighted work claimed to be infringed; (c) identification of the material that is claimed to be infringing and its location; (d) your contact information; (e) a statement that you have a good-faith belief that the use is not authorized by the copyright owner, its agent, or the law; and (f) a statement, under penalty of perjury, that the information in the notice is accurate and that you are authorized to act on behalf of the copyright owner.

We may remove material alleged to be infringing and, in appropriate circumstances, terminate the accounts of repeat infringers.

14. Third-Party Links

The Service and this site may contain links to third-party websites or services. We do not control those sites and are not responsible for their content, policies, or practices. Accessing third-party sites is at your own risk and subject to the terms and privacy policies of those sites.

15. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Ferrule does not warrant that the Service will be uninterrupted, error-free, or that data retrieved through connected integrations will be accurate or complete. AI assistants that use the Service may produce outputs that are incorrect, incomplete, or inconsistent; you are responsible for reviewing any output before relying on it.

16. Limitation of Liability

To the fullest extent permitted by law, Ferrule and its affiliates, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenue, data, or business opportunities, arising out of or related to your use of the Service, even if advised of the possibility of such damages. In no event shall Ferrule's aggregate liability arising out of these Terms or the Service exceed one hundred U.S. dollars (USD $100) or the amount you paid Ferrule in the twelve months preceding the event giving rise to liability, whichever is greater.

17. Indemnification

You agree to defend, indemnify, and hold harmless Ferrule and its affiliates from and against any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to (a) your User Content, (b) your violation of these Terms, (c) your violation of any applicable law or third-party right, or (d) your use of any third-party service in connection with the Service.

18. Termination

You may terminate your account at any time by disconnecting all integrations and deleting your account through the dashboard. Upon termination, all stored tokens, API keys, stored prompts, role definitions, and account data are permanently deleted, subject to the retention practices described in our Privacy Policy.

We reserve the right to suspend or terminate accounts that violate these Terms or create risk to the Service or other users. Sections that by their nature should survive termination (including Sections 9, 11, 12, 15, 16, 17, 19, and 20) will survive.

19. Governing Law and Venue

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules. The exclusive venue for any dispute arising out of or relating to these Terms or the Service shall be the state or federal courts located in New Castle County, Delaware, and you consent to personal jurisdiction in those courts. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

20. Changes to These Terms

We may update these Terms from time to time. We will notify registered users of material changes via email at least 30 days before the changes take effect, unless a shorter period is required to address a legal or security issue. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

21. Miscellaneous

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Ferrule regarding the Service and supersede any prior agreements on that subject. If any provision of these Terms is held to be unenforceable, that provision will be modified to the minimum extent necessary, and the remaining provisions will remain in full force. Our failure to enforce any right or provision is not a waiver of that right or provision. You may not assign these Terms without our prior written consent; we may assign them to an affiliate or in connection with a merger, acquisition, or sale of assets.
